PTO Terms of Service Agreement (“Payor”, “Company”)
This Terms of Service Agreement (the “Agreement”) is between PTO, Inc. (“PTO”, “we”, “us” or “our”) and any entity (“Funds Recipient”, “you”, or “your”) that receives donation payments from PTO, Inc (“Service”).
1. Acceptance of Agreement Terms
By signing an agreement or clicking a box indicating you agree to the terms of this Agreement, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are agreeing to this Agreement on behalf of a business entity, you represent to PTO that you have authority to bind that business entity to this Agreement, and your agreement to this Agreement shall constitute the agreement of the business entity (and the terms “you” and “your” shall include the business entity). Additionally, you represent that you have reached the age of majority in the state or jurisdiction in which you reside. The Services are not intended for use by anyone under the age of 18.2. Agent Authorization
In connection with the Services, the Funds Recipient authorizes the Company, and the Company hereby agrees to act, as the Funds Recipient agent for the purposes of holding, receiving and disbursing funds on the Funds Recipient behalf. To the extent required by Applicable Law, each of the Company and the Funds Recipient hereby agrees to and acknowledges the following:
- The Company shall comply in all respects with instructions originated by the Funds Recipient, meaning that the Funds Recipient assumes sole and complete responsibility, without recourse to the Company, for the transmission of funds from the moment an Employee or Employer initiates a transaction until the Fund Recipient receives the settlement funds or the Employee or Employer receives the refund, as applicable.
- There is no risk of loss to the Employee or Employer initiating the transaction if the Company fails to remit the settlement funds to the Funds Recipient.
- Receipt of settlement funds by the Company is deemed receipt of settlement funds by the Funds Recipient.
- In the event the Company attempts to deliver funds to the Funds Recipient and the Funds Recipient fails to accept the funds within 180 days from disbursement date, the Company reserves the right to void and/or cancel the payment.
- Persons doing business with the Company are aware that the Company acts as an agent for the purposes of the holding, receiving and disbursing of funds.
